　　根据省司法厅《关于开展律师为民营企业法治体检专项活动的实施方案》（粤司办〔2018〕451号）要求，结合我市工作实际，制定了《深圳市关于开展律师为民营企业法治体检专项活动的实施方案》，现印发给你们，请认真贯彻落实。

　　Pursuant to the requirements set out in the Implementation Plan for Lawyers Carrying out ‘Compliance Examination’ for Private Enterprises (Department of Justice, Guangdong Province [2018] No. 451) promulgated by the Department of Justice of Guangdong Province, combined with the work situation in Shenzhen, the Implementation Plan of Shenzhen Municipality for Lawyers Carrying out ‘Compliance Examination’ on Private Enterprises is hereby formulated and issued for your careful implementation.

　　关于开展律师为民营企业法治体检专项活动的实施方案

　　Implementation Plan for Lawyers Carrying out ‘Compliance Examination’ on Private Enterprises

　　一、组织领导

　　I.Leading organization

　　主办单位：深圳市司法局、深圳市律师协会

　　Organizer: Justice Bureau of Shenzhen Municipality, Shenzhen Lawyers Association

　　各区司法局、市律协公益委员会、业务创新与发展委员会、法治深圳促进委员会、参政议政促进委员会、宣传工作委员会、各律所党组织参与组织实施。

　　Justice bureaus at all districts, Welfare Committee, Business Innovation and Development Committee, Shenzhen Rule of law Promotion Committee, Promotion for Participation in the Deliberation and Administration of State Affairs Committee, Publicity Committee of Shenzhen Lawyers Association Public, and party organizations of all law firms shall participate in the organization and implementation.

　　二、工作任务

　　II.Task

　　依托我市中小微企业律师服务团，发挥律师专业特长和实践优势，在2018年12月底前，组织我市律师集中为不少于150家民营企业进行“一对一”法治体检。深入了解民营企业生产经营和依法治理的情况，分析民营企业的法律需求和风险点，查找制度漏洞和薄弱环节，健全法律风险预警防范机制，提供法律咨询，解答法律问题，提出意见建议。重点围绕以下方面进行：

　　Organize Shenzhen lawyers to carry out one-on-one ‘Compliance Examination” on no less than 150 private enterprises before the end of December 2018, relying on and giving full play to the expertise and practice of groups of lawyers for small and medium-sized enterprises. It is aimed to give an insight into the operation and governance of private enterprises in accordance with laws, analyze their legal demands and risks, find out the systematic loopholes and weaknesses, enhance the early warning and prevention mechanism of legal risks, offer legal advice and solutions to legal problems and provide suggestions and opinions.

　　It shall be implemented with focuses on the following aspects:?

　　（一）政策宣讲。宣讲习近平总书记在民营企业座谈会上的重要讲话精神，宣讲党中央毫不动摇鼓励、支持、引导民营经济发展的鲜明态度，宣讲国家和省委省政府支持民营企业发展的有关决策部署，引导民营企业进一步坚定发展信心，提高依法经营和管理水平。

　　(I) Policy publicity. Publicize the spirit of General Secretary Xi Jinping's important speech at the private enterprises seminar. Publicize the distinct attitude of the Party Central Committee in encouraging, supporting and guiding the development of non-public sector. and Publicize the decisions and deployments at the state level, and of the Guangdong Provincial Party Committee and People’s Government of Guangdong Province in support of the development of private enterprises. Guide private enterprises to further strengthen their confidence in development and improve their operation and management pursuant to law.

　　（二）开展“法律体检”。从企业的治理结构、管理风险、诉讼仲裁风险防范、知识产权保护、劳资关系等方面开展“法律体检”，细化分析企业存在法律风险和管理风险，有针对提出法律意见和建议，出具“体检报告”，推动民营企业高质量低风险发展。

　　(II) Carrying out “Compliance Examination”. Carry out the “Compliance Examination” on the aspects of enterprise’s governance structure, risk management, litigation and arbitration risk prevention, intellectual property protection, employee-employer relations, etc. Refine the analysis of legal risks and management risks existing in the enterprises, propose targeted legal opinions and suggestions, and issue examination reports in order to promote the high-quality and low-risk development of private enterprises.

　　（三）法律专题讲座。通过以案说法的形式，结合企业实际，开展法治宣传，增进互动，解答民营企业提出的问题，提高企业法律意识和风险防范意识。

　　(III) Organizing legal seminars. Carry out publicity of the rule of law and enhance interaction by expounding laws through actual cases combined with real situations of the enterprises. Answer questions put forward by private enterprises and strengthen their legal awareness and risk prevention awareness.

　　（四）加强专项法律服务工作。围绕民营企业的发展特点和存在困难，组织提供法律服务时重点抓好以下业务工作：

　　(IV) Improving special legal services. Centered on the development characteristics of and existing challenges faced by the private enterprises, place more importance on the following aspects when organizing lawyers to provide legal services:

　　1.参与企业设立过程，规范企业设立行为和规避投资风险；

　　1. Participating in the establishment of enterprises, regulating enterprises’ setting up and avoiding investment risks;

　　2.协助企业建立、完成各项内部管理制度；

　　2. Assisting enterprises in formulation and completion of various internal management regulations;

　　3.定期为企业举办法律讲座，提高法律意识和风险意识；

　　3. Regularly holding legal lectures for enterprises to improve the legal awareness and risk awareness;

　　4.为企业投融资提供咨询，为企业提供建设性的投资、融资方案；

　　4. Offering consulting services on investment and financing, and providing constructive investment and financing plans to the enterprises;

　　5.积极为企业上市、并购、重组提供专业法律服务，推动企业在资本市场做大做强；

　　5. Actively providing professional legal services for enterprises’ listing, mergers, acquisitions, and reorganization to encourage enterprises to grow bigger and stronger in the capital market;

　　6.协助企业做好投资相关立项合规工作；

　　6. Assisting the enterprises in the compliance work in the initialization of investment projects;

　　7.主动帮助家族企业做好家族财产传承和发展工作；

　　7. Proactively offering help to family companies in family wealth inheritance and family business development;

　　8.妥善处理好企业股权纠纷法律事务；

　　8. Properly handling the legal issues of enterprise equity disputes;

　　9.协助做好企业产权保护工作，尤其是知识产权保护工作。

　　9. Assisting enterprises in their property rights protection, especially in the intellectual property rights protection.

　　三、工作要求

　　III. Work Requirements

　　（一）建立工作台账。律师服务团开展民营活动后，按要求填写工作台账，并及时报送市律协。

　　(I) Maintain work record. After carrying out the activities for private enterprises, the service group of lawyers shall fill out work record as required and submit to the Shenzhen Lawyers Association in a timely manner.

　　（二）撰写法治体检报告。律师服务团队为民营企业开展法治体检后，应当撰写法治体检报告，体检报告认真记录和分析民营企业生产经营状况和法律服务需求，梳理企业经营决策中的法律风险，指出薄弱环节和风险点，就如何加强民营企业法治建设、维护民营企业合法权益提出意见建议，并及时报送市律协。

　　(II) Write ‘Compliance Examination’ report. After carrying out the ‘Compliance Examination’ on private enterprises, the service group of lawyers shall write the ‘Compliance Examination’ reports which record and analyze the legal demands and risks of private enterprises, point out the systematic loopholes and weaknesses, provide suggestions and opinions on how to enhance the rule of law construction and safeguard the legitimate rights and interests of the private enterprises. Reports shall be submitted to the Shenzhen Lawyers Association in a timely manner.

　　（三）主流媒体宣传报道。主动邀请主流媒体关注，充分发挥司法行政系统、市律协所属媒体、杂志、网站、微博微信公众号和手机客户端等的作用，设立专栏专版，密集跟踪报道进展情况和典型案例。

　　(III) Publicize activities via mainstream media. Take the initiative to invite mainstream media to pay attention to the activities, make good use of the media, magazines, websites, Weibo and WeChat public accounts, APPs, etc. under the Shenzhen judicial administrative system or of Shenzhen Lawyers Association, set up a special column and edition to keep a close track of the work progress and typical cases.

　　（四）完成时间：2018年12月24日前。
